Fully conversant with The Companies Act, Secretarial Standards & matters, SEBI Regulations, Stock Exchanges, RBI, FEMA , SEZ & ROC Compliances Understand and monitor the Company's operations, identify and interpret applicable laws and ensure statutory compliance. Technical understanding of transaction lifecycle for various asset classes.

Job Profile: :
1. Compliances
  • a) all Secretarial & Legal functions independently - handling board meetings, Maintaining Minutes of all Meetings, Statutory Registers and records, filing of Forms, maintaining records and compliance of all other Secretarial matters and Standards and applicable Statutory & regulatory requirements
  • b) Corporate Governance including Board & Meeting compliances
  • c) Compliance with SEBI/SCRA/ RBI/ FEMA/ SEZ / Stock Exchange Rules and Regulation & Bye-laws ,Regulations/Circulars/ Guidelines and various laws – Taxation Laws, Securities laws , SEZ and DC Laws, Wages Act, Bonus Act, Industrial & Labour Law etc.
  • d) Ensure zero noncompliance, zero penalty

2. Handling the legal matters of the Company and acting as single point contact for all Regulators/ Exchanges/ Statutory related
3. Risk Analysis including compliance and operational risk & their mitigation, Formulate & review internal controls and strengthen the same. Continuously review current policies, procedures and surveillance activities to seek to modify and improve the compliance program
4. Forming and implementing AML/ PMLA/other Policies and process manuals applicable for various business segments while ensuring compliance of PMLA, Regulations/ Byelaws/Rules/ Notifications/Circulars issued by Regulators / Exchanges
5. Responsible for preparing, negotiation, finalization and review of customer on-boarding kits/ agreements/ documents
6. Comply requirements under KYC and ensuring Client On-Boarding in a timely and swift manner Interpretation. implementation and
7. Planning and introducing new products, presentations and marketing collaterals
8. Concurrent & Internal Audits , Inspections by Regulators, Exchanges
9. Accurate and timely reporting of monthly financial results for each business, department and overall company
10. Lead the Compliance Advisory program to assess the regulatory/compliance controls of the Company's Electronic Trading Platform including; Direct Market Access, High Frequency Trading, Algorithmic trades by providing clear and understandable guidance to interested parties, and drafting and delivering compliance training, documentation, risk mitigants on these topics
11. Help further develop and enhance the governance structure of the Electronic Trading Platform including but not limited to; protocols for system development and testing and interacting with Trading Counterparts and clients to address connectivity, order routing and system related requests or issues

Job Purpose :

Handling the finance and administrative functions including financial planning and analysis, treasury and investments, accounting, audit and administration, reporting, compliance, taxation, etc while ensuring timely completion of all audits, Finalization, statutory reporting, board and audit committee meetings

Key Accountabilities

Presenting and reporting accurate and timely financial information of the company including smooth and timely completion of all audits including regulator initiated audits

Ensure financial stability and necessary control systems (Internal Audit, Risk Framework etc.,) for the company’s business.

Prepare and present the business plans, periodic accounts etc to the Board of Directors and have all pertinent discussions with the Board i.e broad milestones, reply on board queries, products, risk etc

Ensure a system for a comprehensive profitability reporting system to track business profitability and return on capital employed.

Liasoning with statutory auditors, internal auditors, tax auditors etc and with regulators for their periodical audits under various statues.

Understand regulations, Identify new business opportunities, new products launches, lay down systems, procedures, manuals, client documentations and business risk mitigation measures.

Heading any other responsibilities including those of business verticals/ segments or any other aspects pertaining to actual operations, banking, settlements, documentations etc and developing and guiding the accounts, operations and investment teams.

Skills Required: :
  • Expertise in Financial and Accounting, IND-AS, GST, Budgeting, MIS, Taxation and FEMA
  • Pro-active, result oriented and ability to shoulder additional cross functional responsibilities
  • Ability to work with global clients time zones, multi-task and handle conflicting priorities across time lines
